General Sales Conditions

1.            The supplier/contractor/vendor/provider is obliged to comply with restrictions, constraints, and liabilities under the law no. 82/2005 of Journal of Laws on illegal work and illegal employment, and of the change and amendments of particular Acts, as amended, primarily he/she is obliged to ensure that the work or services according to this agreement/contract/order are not provided through an illegally employed natural person.

2.            The supplier/contractor/vendor/provider declares that work and services, which he/she provides based on this agreement/contract/order, will be provided or delivered during the validity of the agreement/contract/order only through a natural person employed in accordance with the legislation of Slovak Republic, and he/she also declares that he/she will not provide or deliver any work or services through a natural person employed illegally.

3.            At the request of the buyer/customer/vendee/recipient, the supplier/contractor/vendor/provider is obliged to provide immediately documents in the requested extent (for example, registration paper of a natural person in the Social Insurance Institution) and personal data of natural persons through whom he/she provides work or services under this agreement/contract/order, which are sufficient for the buyer/customer/vendee/recipient to verify that the supplier/contractor/vendor/provider does not breach the interdict of illegal employment under the special regulation, that is, under the law no. 82/2005 of Journal of Laws, as amended. In the case that the work or services are provided by a foreigner, that is, anyone who is not a citizen of Slovak Republic including persons without citizenship, the supplier/contractor/vendor/provider is obliged to provide to the buyer/customer/vendee/recipient immediately also documents confirming entitlement of lawful residence and entitlement to work lawfully in Slovak Republic in the requested extent prior the work or services are provided by the foreigner (for example, residence permit, work permit, residence document). The request to provide documents and personal data, as well as the documents and personal data, can be delivered in electronic form on a given e-mail address. Supplier declares that he/she is authorized to provide the buyer with the natural person’s data in the extent and under the conditions listed in this point, while if a permission of the given natural person (as a person concerned) is necessary, supplier/contractor/vendor/provider is obliged to obtain this permission in advance by a verifiable procedure, if such an obligation follows from general legal regulations (mostly law no. 122/2013 of Journal od Laws about personal data protection, as amended). The Parties also agreed that they ensure an adequate protection of personal data in the extent following from the corresponding general legal regulation (mostly law no. 122/2013 of Journal of Law, as amended). The supplier/contractor/vendor/provider declares not to present, enable access, or make public personal data provided by the buyer/customer/vendee/recipient to the third party.

4.            If the supplier/contractor/vendor/provider breaches the obligations following from this agreement/contract/order or from general legal regulations, and for that reason, the buyer/customer/vendee/recipient will be fined or sanctioned for the breach of an interdict receive work or services provided by the supplier/contractor/vendor/provider through a natural person employed illegally, the supplier/contractor/vendor/provider declares to refund to the buyer/customer/vendee/recipient the inflicted damages including damages inflicted by paying the fine or sanction imposed by a corresponding public administrative authorities. The supplier/contractor/vendor/provider is obliged to reimburse the inflicted damages to the buyer/customer/vendee/recipient within 15 days from the delivery of the invoice along with the request for the refund of the inflicted damages. One of the deeds for determining the inflicted damages caused to the buyer/customer/vendee/recipient will also be a copy of the legal decision of the competent public authorities to impose a fine or other sanction for the infringement of the interdict to accept a labor or services provided by the contractor through an illegally employed natural person.

5.            In case the buyer/customer/vendee/recipient is obliged by a general legal regulation (for example, Journal of Laws) to provide a retroactive pay or its part to a visiting employee, which was not paid by the supplier/contractor/vendor/provider or other legal entity, then the buyer/customer/vendee/recipient is authorized to request the compensation of the visiting employee's retroactive pay from supplier/contractor/vendor/provider within 15 days of the delivery of the invoice to supplier/contractor/vendor/provider along with the request demanding the return of the salary or its part.
